4. Sharing of Information

- It is necessary to perform the services you have contracted (e.g., sharing with hosting providers, domain registrars, or advertising platforms);

We may update these Terms & Conditions and Privacy Policy from time to time. Any changes will be communicated to you and posted on our official communication channels. Your continued use of our services after any update constitutes acceptance of the revised terms.
Terms & Conditions
1. Scope of Services
Star Digital specialises in providing a comprehensive range of digital and creative services, which include but are not limited to: Website Designing, Website Development, Website Management, App Designing, App Development, Digital Marketing, Search Engine Optimisation (Website SEO & Google My Business SEO), Social Media Marketing (SSM), and Paid Advertising Campaign Management (Google Ads & Meta Ads). We also provide related consultancy, on-site support, and technical assistance when required.
Our team is committed to delivering services to the highest professional standard, using industry best practices and up-to-date methodologies. We aim to meet agreed project goals and timelines while maintaining open and transparent communication with our clients.
2. Payment Terms and Obligations
Invoicing cycle: Star Digital issues consolidated invoices within 7 calendar days of each month for services rendered in the prior billing period. The invoice date stated on the invoice is the issue date for all timing references under this clause.
Due date: All invoices are due within 10 calendar days from the invoice date, unless a different due date is expressly stated in the Order, Proposal, or invoice itself.
Reminders: Star Digital may send multiple courtesy reminders via email or other channels before and after the due date, including at or around due day, 7 days past due, 15 days past due, 30 days past due, and 45 days past due, consistent with common receivables practices to improve recovery timelines.
Suspension for non-payment: If any undisputed amount remains unpaid 15 days after the due date, Star Digital may suspend or pause some or all Services, including placing any website, app, or software under maintenance mode, and freeze credentials or administrative access under Star Digital’s control until outstanding amounts are paid in full. Star Digital may also disable deployments, ad campaign delivery, or connected integrations as part of suspension. Suspension does not waive or limit the obligation to pay overdue amounts or ongoing charges where applicable.
Access freeze and control: During suspension, Star Digital may retain or revert administrative control over environments, dashboards, ad accounts, content management systems, repositories, hosting, and related credentials it manages to preserve service integrity and prevent unauthorized changes while invoices are overdue, consistent with industry suspension clauses.
45-day non-payment consequence: If an undisputed invoice remains unpaid 45 days after the due date despite multiple reminders, Star Digital may terminate or withdraw Services and revoke access it controls. Where Star Digital is the deploying or managing party for hosted environments or platforms, Star Digital may remove configurations, disable integrations, and cease publishing or delivery. Any takedown or cessation will be executed with proportionality and in accordance with applicable laws and third‑party platform rules.
Data handling after termination: Upon termination for non-payment, Star Digital will handle personal data consistent with applicable data protection laws. To the extent Star Digital is a Data Processor/Fiduciary holding personal data, retention will be limited to what is necessary for legal, accounting, or dispute‑resolution purposes, and otherwise erased when the purpose is no longer served or as required by law. Where deletion is legally permissible, data may be deleted after termination; where retention is legally required (e.g., tax/audit), data will be retained only for the mandated period and then erased. Operational assets that are not personal data (e.g., builds, compiled files, deployments) may be decommissioned as part of service withdrawal, subject to legal constraints and contractual ownership terms already stated in these Terms.
Disputed amounts: Services will not be suspended for amounts subject to a timely, reasonable, and good‑faith billing dispute, provided the client cooperates diligently to resolve the dispute and pays all undisputed amounts by their due dates.
Reinstatement: Upon full payment of overdue amounts and any applicable administrative or reactivation fees communicated in writing, Services and access may be restored. Timelines for reinstatement may vary based on third‑party platform propagation and technical factors.
Accrual of charges and recovery: Late payments may incur interest, administrative, or collection fees as specified on the invoice or permitted by law. Star Digital reserves the right to pursue collections or legal remedies for unpaid amounts, in addition to suspension or termination rights under this clause.
Notes on alignment with the request
Includes monthly invoicing within 1 week, 10-day payment window, reminders at multiple intervals, suspension after 15 days overdue, and final action at 45 days overdue, as requested, with clearer timing anchors and dispute-safe harbor.
Clarifies that “maintenance mode” and access freezes are part of suspension, while ensuring actions are proportionate and compliant with platform rules and data laws, avoiding overbroad data deletion that could conflict with legal retention duties.
Adds a data-handling paragraph to meet modern India DPDP Act expectations on retention/erasure and to separate personal data from operational assets, reducing regulatory risk while preserving the operational remedy requested.
If a stricter or softer posture is preferred, timelines can be adjusted (e.g., 30-day net, 10-day grace, suspend at +15, terminate at +45) and explicit late fee percentages added per invoice language and local law constraints.
3. Project Timelines and Client Responsibilities
While we aim to deliver all projects within the agreed timeframe, actual delivery dates depend on the availability of required materials, prompt feedback, and approvals from the client. Delays in providing necessary content, images, login credentials, or written approvals may directly impact delivery schedules and could result in additional costs.
You are responsible for ensuring that all information and materials provided to us are accurate, complete, and legally compliant. This includes securing any rights or permissions for third-party content. Star Digital will not be held responsible for delays, errors, or legal issues caused by incomplete or inaccurate client-provided materials.
4. Intellectual Property and Ownership
All concepts, designs, code, and deliverables created by Star Digital remain our property until full payment has been received. Upon final payment, ownership of the agreed deliverables will transfer to you, excluding any third-party components (such as licensed images, fonts, or software) which remain under their respective licenses.
We reserve the right to showcase completed projects in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.
5. Performance Disclaimer
We will always apply proven strategies and industry-standard techniques in delivering your project or campaign. However, due to factors outside our control—such as changes to search engine algorithms, platform policy updates, market fluctuations, or shifts in audience behaviour—we cannot guarantee specific results such as exact rankings, lead volumes, or sales figures. Marketing performance is inherently variable, and our services are billed for the work, expertise, and resources provided, not solely for outcomes.
6. Suspension or Termination of Services
We reserve the right to suspend or terminate any project or ongoing service if:
- Payments are overdue beyond the agreed terms.
- You breach these Terms or engage in unethical or unlawful activities through our work;
- There is misuse of our intellectual property, resources, or systems.
In such cases, all work will be halted until the matter is resolved, and you will be liable for any costs incurred up to that point.
7. Limitation of Liability
Our liability for any claim relating to the services provided shall not exceed the total amount paid by you for that specific service. Under no circumstances will we be held liable for indirect, incidental, special, or consequential damages arising from the use or inability to use our services.
8. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts located in Maharashtra.
9. Changes to Terms & Conditions and Privacy Policy
Star Digital reserves the right to amend, update, or modify these Terms & Conditions and Privacy Policy at any time, on any day, without prior notice. Such changes will be effective immediately upon posting on our official communication channels or website, or upon being shared directly with you. It is your responsibility to review these terms periodically to ensure you remain informed of any updates. Continued use of our services after any changes are implemented will constitute your acceptance of the revised terms.
